CapStack Terms of Service

Last updated: October 16, 2026

These Terms apply to CapStack App at https://app.capstack.space (the "Service"). The free, no-account calculator at capstack.space is not covered by these Terms.

These Terms of Service (the "Terms") are an agreement between Cartooli Business Ventures Inc., a [to be provided] corporation with its principal address at [to be provided] ("CapStack," "we," "us"), and the business or organization that signs up for or uses the Service ("Customer," "you"). The person accepting these Terms says they have authority to bind that organization.

Summary of key billing terms

The full terms are in Section 5.

1. The Service is modeling software, not advice

CapStack is a software tool for building cap table, ownership, dilution, and fund scenario models from inputs you provide. CapStack does not provide legal, tax, accounting, investment, or securities advice, and does not offer brokerage, valuation, transfer-agent, or fund-administration services. Outputs are illustrative estimates. They depend on your inputs and assumptions and may contain errors. The Service is a pre-decision scenario model, not a system of record. Do not rely on it as the official record of equity ownership, as a valuation (including a 409A valuation), or as a substitute for advice from qualified legal, tax, and financial professionals. You alone are responsible for decisions you make using the Service and for checking any output before you rely on it.

2. Accounts and access

2.1 Eligibility. The Service is for business use only. Do not use it as a consumer for personal, family, or household purposes. Users must be at least 18 years old.

2.2 Magic-link sign-in. You sign in with a one-time link sent to your email address. You are responsible for keeping your email account secure. Anyone who can open your sign-in emails can get into your account. Tell us promptly at [to be provided] if you suspect unauthorized access.

2.3 Workspaces and invited users. A firm workspace may include users invited by work email. An invited person joins that firm only after accepting the invite. The Customer is responsible for its users, their actions, and their compliance with these Terms. Workspace owners and admins control checkout and invites.

3. Customer Data

3.1 Ownership. As between the parties, you own the data, files, and models you upload to or create in the Service ("Customer Data"). You give us a limited license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service and as described in the Privacy Policy and Data Processing Addendum.

3.2 Your responsibilities. You confirm that you have the rights and any notices or consents needed to upload Customer Data. This includes any personal information about shareholders, employees, investors, or limited partners. You are responsible for the accuracy of Customer Data.

3.3 Export. A workspace member can export firm models as JSON while signed in, including after a subscription lapses. The workspace can also download a PDF or Excel file of computed cap table, waterfall, and fund MOIC results after Run Model on a saved model. We recommend exporting before you cancel.

3.4 How data is stored. Customer Data, including model JSON, is stored in a managed Postgres database (Neon). The application stores model JSON as database JSON. It does not apply additional application-level encryption to model data. We do not hold a third-party security certification or attestation in this product. Do not upload information that requires a higher level of protection than this, such as Social Security numbers, bank account numbers, or other government ID numbers.

3.5 After termination. How long Customer Data is kept after access ends is [to be provided]. You can export while the workspace still allows export. See the Privacy Policy and DPA. As of October 16, 2026, Neon history for this project is a 6-hour point-in-time restore window on the Free plan.

4. Acceptable use

You will not: (a) use the Service in violation of law, including securities laws; (b) upload malware or content you have no right to use; (c) try to probe, scan, or breach the Service's security, or reach other customers' data; (d) reverse engineer the Service except as the law allows; (e) resell or share access outside your licensed scope; (f) overload or disrupt the Service, including through excessive automated requests; or (g) use the Service to build a competing product.

5. Trial, fees, automatic renewal, and cancellation

5.1 Free trial. A new workspace created at sign-up, when that email does not already have a pending firm invite, gets a 14-day trial. No payment method is collected at sign-up. Checkout does not set trial_period_days. At the end of the trial, paid writes stop unless you complete checkout. What happens to trial data that is never converted is [to be provided].

5.2 Plans and prices. These are the prices and quotas in the application as of October 16, 2026.

PlanPriceBilling period in the appApplication limits
Per company$300 USDPer year1 model, 1 fund
Per fund$800 USDPer year25 models, 1 fund
Firm license$1,500 USDPer year50 models, 20 funds

Prices do not include taxes. You are responsible for applicable sales, use, VAT, and similar taxes. Promotional codes are accepted at Stripe Checkout when Stripe allows them.

5.3 Payment processing. Card checkout is a Stripe Checkout subscription session. The application does not fall back to a Stripe Payment Link. By completing checkout, you authorize Stripe to charge the payment method you provide. Card numbers are collected by Stripe, not stored in this application's database.

5.4 Automatic renewal. A paid plan purchased through Checkout is a Stripe subscription that continues until you cancel. The application labels the plans as yearly prices. Whether a particular Stripe Price object is configured as a yearly recurring price is set in Stripe, not hard-coded as an interval on the Checkout Session. Before checkout, the price, the statement that the plan renews each year until you cancel, and how to cancel are shown next to the subscribe button. The button stays disabled until you check an unchecked consent box. The application records that consent in its audit log with the time, the plan, and the text version. A renewal reminder email and a separate post-purchase email that restates these terms are [to be provided].

5.5 Price changes. We may change prices for a future renewal term. The notice period before a price change takes effect is [to be provided]. If you do not want to renew at a new price, cancel before the renewal.

5.6 How to cancel. Any signed-in member of the firm can open cancellation from Workspace → Billing → Manage / cancel. Checkout and invites are limited to an admin or owner; the portal route checks membership only. That control opens a Stripe Customer Portal session when the firm already has a Stripe customer id and the Stripe secret is configured. Otherwise it can open a portal login URL if one is configured, or it reports that the portal is unavailable. You can also email [to be provided] with the subject "Cancel." How quickly that email is handled is [to be provided]. Cancellation in Stripe stops future renewals. Cancellation alone does not trigger a refund except as stated in the Refund Policy.

5.7 Failed payments. If Stripe reports an invoice payment failure, or a subscription status of past_due, unpaid, or incomplete_expired, the application sets the firm plan to past_due. Past_due does not have paid write access. Any longer grace period before that change is [to be provided].

5.8 Invoices. If you want invoiced billing instead of card checkout, use the contact form. Any order form we agree on will set the payment terms.

6. Our intellectual property

We and our licensors own the Service, including its software, design, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. If you send us feedback, we may use it without any obligation to you.

7. Third-party services

The Service runs on Vercel, stores data in Neon, sends email through Resend, and uses Stripe for checkout and the customer portal. Your use of Stripe Checkout and the customer portal is also subject to Stripe's terms. We are not responsible for third-party services we do not control.

8. Availability and changes

We offer no service-level agreement or uptime commitment. We may change, suspend, or discontinue features. If we discontinue the entire Service, we will try to give reasonable advance notice so you can export your data, and we will refund the unused portion of prepaid fees for the unused part of your term on a pro-rated basis.

9. Confidentiality

Each party will protect the other's non-public information that it receives under these Terms with reasonable care, and will use it only to carry out these Terms. Customer Data is your confidential information.

10. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CAPSTACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT CALCULATIONS OR MODELS WILL BE ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, OR FOR INVESTMENT, FINANCING, OR TRANSACTION LOSSES, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (b) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to your payment obligations, a party's indemnity obligations, or breaches of Section 4.

12. Indemnity

You will defend and indemnify CapStack against third-party claims arising from Customer Data, your use of the Service in violation of these Terms or the law, or decisions made using outputs of the Service.

13. Term and termination

These Terms apply for as long as you use the Service. Either party may terminate if the other materially breaches these Terms and does not cure the breach within 30 days after notice. We may suspend access right away to prevent harm to the Service or to others, or to comply with the law. Sections 1, 3.5, and 6 through 15 survive termination.

14. Governing law and venue

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Service. Each party consents to those courts.

15. General

We will post updated Terms. For material changes, the advance notice period is [to be provided]. These Terms, together with the Privacy Policy, Refund Policy, DPA, and any order form, are the entire agreement between us. Neither party may assign these Terms without the other's consent, except in connection with a merger or a sale of substantially all of its assets. If any provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver. Notices to us go to [to be provided] and [to be provided].
